Manatt Represents Bertelsmann in its $121M Sale of OnCourse Learning to Adtalem Global Education

Manatt’s Scott Schwartz, a partner in the corporate and finance group, led a team representing Bertelsmann, an international media, services and education company, and its subsidiary OnCourse Learning in the approximately $121 million sale of OnCourse’s financial services education business to Adtalem Global Education, an Illinois-based global educational services company. The deal was announced on April 15 and is expected to close this quarter.

This acquisition will strengthen Adtalem’s position as a leader in the financial services continuing education space, and will allow Bertelsmann to focus on professional development services in other sectors.

Schwartz previously led Manatt’s representation of Bertelsmann in its acquisition of OnCourse, which closed in November. OnCourse provides professional development webinars and workforce management solutions in the healthcare, financial services and real estate industries.

The deal team also included corporate and finance partner Aydin Caginalp; venture capital and emerging companies partner Brian Kelly; tax, employee benefits and executive compensation partner David Herbst; employment and labor partner Sharon Bauman; corporate and finance associates Ben Ryzak, Jeff Alpert and Veronica Lah; and intellectual property protection and enforcement associate Jessica Wood.
