Manatt Represents A.G.P. and Cantor Fitzgerald Canada Corp. in HEXO Corp.’s $140M Public Offering

Manatt’s Thomas J. Poletti and Katherine J. Blair, partners on the capital markets team, represented A.G.P./Alliance Global Partners and Cantor Fitzgerald Canada Corporation as lead underwriters and joint bookrunners, together with ATB Capital Markets Inc., which acted as co-manager, for the $140 million public offering by HEXO Corp., a consumer packaged goods cannabis-based products company. The public offering was conducted pursuant to the U.S./Canada Multijurisdictional Disclosure System.

The securities were offered to the public at $2.95 per unit. Each unit was comprised of one common share and one half of one common share purchase warrant, with each full warrant exercisable to acquire one common share for a period of five years at an exercise price of $3.45 per warrant share. HEXO’s common shares are traded on the New York Stock Exchange and the Toronto Stock Exchange.

Manatt’s capital markets team previously represented A.G.P. in a $360 million public offering, a $20 million registered direct offering and a $25 million registered direct offering for HEXO Corp.
